Item 1.01. Entry into a Material Definitive Agreement.
On November 26, 2024, Axalta Coating Systems Dutch Holding B B.V. and Axalta Coating Systems U.S. Holdings, Inc., as borrowers, Axalta Coating Systems Ltd. (the “Company”), Axalta Coating Systems U.S., Inc. and certain other subsidiaries of the Company party thereto, as guarantors, certain lenders party thereto and Barclays Bank PLC, as administrative agent and collateral agent, entered into the Sixteenth Amendment to Credit Agreement (“Amendment No. 16”), which amended that certain Credit Agreement dated as of February 1, 2013 (as amended, the "Credit Agreement").

Amendment No. 16 amended the Credit Agreement to lower the interest rate spread applicable to the term loan under the Credit Agreement, which will continue to be based on the Secured Overnight Financing Rate (SOFR), from 2.00% to 1.75% and to make related changes to effect such repricing. The other material terms of the Credit Agreement, including the outstanding principal amount and maturity date of the term loan, remain unchanged.
